These Terms of Service ("Terms") govern your access to and use of Tomodaily ("we", "us", "the service"), available at tomodaily.com and through the dashboard, Telegram, and email channels. By creating an account or using the service, you agree to these Terms.

This is an early draft. A licensed attorney has not yet reviewed it. We will revise it before general availability, and we will notify subscribers of material changes by email and via the dashboard.

1. Acceptance

By creating an account or using Tomodaily, you accept these Terms. If you do not agree, do not use the service. We may update these Terms from time to time. If a change is material, we will give you reasonable advance notice by email and post the revised version with an updated effective date. Continued use after the effective date counts as acceptance.

2. Account

You must be at least 18 years old to create an account, or you must have the consent and supervision of a parent or legal guardian if your jurisdiction allows minors to enter contracts with that supervision. You agree to provide accurate information when you sign up and to keep your account credentials secure. You are responsible for everything that happens under your account.

You may not share a single account across multiple people. Each person who uses Tomodaily needs their own subscription.

3. Subscription and billing

Tomodaily offers two paid tiers during the early-access period:

Operator — $25 per month
Founder — $50 per month

Subscriptions are billed monthly in advance through Stripe. They renew automatically each month at the then-current price until you cancel. We will email you a receipt for each charge. If your payment method fails, we may pause access until billing is resolved.

We may change prices for future billing cycles with at least 30 days' notice by email. Price changes do not affect the current billing cycle.

4. Refunds

If you are a first-time subscriber and you cancel within 30 days of your first paid charge, email support@tomodaily.com and we will refund that first month in full.

After the first 30 days, cancellations take effect at the end of the current billing cycle. You will keep access until that cycle ends, and you will not be charged again. Pro-rata refunds for partial months after the first month are at our discretion and are not guaranteed.

5. Your content and data

You own the data you put into Tomodaily — your Memory Ledger entries, notes, portfolio data, calendar events you link, and any other content you submit. You grant us a limited, non-exclusive, royalty-free license to store, process, and transmit that data only to the extent needed to operate the service for you, including sending it to the third-party model providers and infrastructure subprocessors listed in our Privacy Policy.

You can export your data in a machine-readable format at any time from the dashboard or by emailing support@tomodaily.com. We will not sell your data or use it to train models for other customers.

6. Acceptable use

You agree not to:

Use the service to send spam or unsolicited messages.
Harass, threaten, or abuse anyone through Tomodaily-generated messages or shared content.
Scrape, copy, or resell the service or any portion of it without our written permission.
Reverse engineer the service except to the extent permitted by applicable law.
Use Tomodaily to help evade the legal, tax, or regulatory obligations of any other person.
Upload content you do not have the right to upload, or content that violates the rights of others.

We may suspend or terminate accounts that violate these rules.

7. Service availability

The service is provided on an "as is" and "as available" basis. We do not guarantee a specific uptime level during the MVP period and we do not offer a service level agreement (SLA). We target reasonable availability and we work to minimize disruption, but the service may be unavailable due to maintenance, third-party outages (model providers, hosting, payment processing, messaging platforms), or events outside our control.

8. Termination

You can cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing cycle. You can also delete your account, which removes your data subject to the retention rules in the Privacy Policy and any legal obligation we have to keep records.

We may suspend or terminate your access if you breach these Terms, if your payment fails for an extended period, or if continued service would expose us or other users to legal or security risk. Where reasonable, we will give you notice and an opportunity to fix the issue before termination.

9. Liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or relating to these Terms or the service is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.

Tomodaily is a productivity assistant. It does not provide financial, legal, tax, medical, or other professional advice. You are responsible for your own decisions.

10. Governing law

These Terms are governed by the laws of [JURISDICTION TBD], without regard to its conflict of laws principles. Any dispute will be brought in the courts located in [VENUE TBD]. This placeholder will be replaced with a specific jurisdiction before general availability.
